Agreement to Terms

By accessing or using Tracesavvy's traceability software platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

Description of Services

Tracesavvy provides a cloud-based traceability platform that enables manufacturers to track materials, production processes, and products throughout the supply chain. Our Services include software access, data storage, reporting tools, and related features as described in your subscription agreement.

Account Registration

To use our Services, you must:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You may not share your account credentials or allow others to access your account. You are responsible for all actions taken using your account.

Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws or regulations in your jurisdiction
• Infringe upon the rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile our software
• Remove or modify any proprietary notices
• Use automated systems to scrape or extract data
• Interfere with or disrupt the Services

Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by Tracesavvy Ltd and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

You retain ownership of your operational data and content that you upload to our platform. By using our Services, you grant us a license to process, store, and display your content as necessary to provide the Services.

Fees and Payment

Access to our Services is provided on a subscription basis. You agree to:

• Pay all applicable fees as specified in your subscription plan
• Provide valid payment information
• Pay invoices within the specified payment terms
• Accept that fees are non-refundable except as required by law

We reserve the right to modify our pricing with 30 days notice. Continued use of the Services after price changes constitutes acceptance of the new pricing.

Data and Privacy

Our collection and use of your information is governed by our Privacy Policy. You are responsible for ensuring that any data you upload to our platform complies with applicable data protection laws and that you have the necessary rights and consents.

Service Availability

We strive to provide reliable and continuous access to our Services. However, we do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We may suspend access for maintenance, updates, or due to circumstances beyond our control.

We provide service level commitments as specified in your subscription agreement. Any service credits or remedies for downtime are limited to those specified in that agreement.

Limitation of Liability

To the maximum extent permitted by law, Tracesavvy Ltd shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions of third parties

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

Warranty Disclaimer

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify and hold harmless Tracesavvy Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of others.

Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account by providing written notice according to your subscription agreement.

Upon termination, your right to access the Services will cease immediately. We will provide access to export your data for a reasonable period after termination as specified in your subscription agreement.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

General

These Terms constitute the entire agreement between you and Tracesavvy Ltd regarding the Services. If any provision is found to be unenforceable, the remaining provisions will continue in full effect. Our failure to enforce any right or provision shall not constitute a waiver.
